See, if they're both guys, chances are reasonably good that neither would care if the two of you made out like the world was about to end, or did pretty much anything else, for that matter. Guys don't get jealous of females very often, or very easily, as a general rule. However, that does NOT extend to FMF threesomes. What might not be considered cheating with just you might be perceived as extreme cheating if a BF of yours (or any other male) was involved.

If I'm reading your posts right it sounds to me like she would be interested. Based on what I read I believe the best thing to do is be up front with her and tell her exactly what you have on your mind.
